End User License Agreement
IMPORTANT - READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and HotDocs, a division of Matthew Bender & Company, Inc. ("HotDocs") for the HotDocs Player software, which may include associated media and "online" or electronic documentation (collectively the "Product"). By downloading, installing, accessing or otherwise using the Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Product.
1. The Product is protected by copyright laws and international copyright treaties and other intellectual property laws and treaties. The Product is licensed, not sold. This license does not grant you any intellectual property rights in the Product and all rights not expressly granted herein are reserved by HotDocs.
2. Any software provided along with the Product that is associated with a separate end-user license agreement is licensed to you under the terms of that license agreement.
3. As long as you comply with the terms of this EULA, HotDocs grants to you a non-exclusive license to use the Product on any number of workstations.
4. You may also store or install a copy of the Product on a network server used to run the Product on your other computers over an internal network.
5. The Product is licensed as a single product. Its component parts may not be separated for use on more than one computer.
6. You may not rent, lease, or lend the Product or use the Product as part of a service bureau.
7. You shall not modify, adapt or translate the Product. You shall not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Product.
8. ACCESS TO AND USE OF THE PRODUCT IS ON AN “AS IS” BASIS ONLY AND WITHOUT ANY WARRANTY OR INDEMNITY OF ANY KIND BY HOTDOCS. HOTDOCS MAKES NO WARRANTIES, CONDITIONS, INDEMNITIES, REPRESENTATIONS OR TERMS, EXPRESS OR IMPLIED, WHETHER BY STATUTE, COMMON LAW, CUSTOM, USAGE OR OTHERWISE AS TO ANY OTHER MATTERS, INCLUDING BUT NOT LIMITED TO NON-INFRINGMENT OF THIRD PARTY RIGHTS, TITLE, INTEGRATION, ACCURACY, SECURITY, AVAILABILITY, SATISFACTORY QUALITY, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE WITH RESPECT TO THE PRODUCT.
9. Indemnity. You agree to hold HotDocs, including its parent and affiliates, harmless from any and all liabilities, losses, actions, damages, or claims (including all reasonable expenses, costs, and attorneys fees) arising out of or relating to any use of the Product.
10. UNDER NO CIRCUMSTANCES WILL HOTDOCS, ITS PARENT OR AFFILIATES, BE LIABLE TO YOU, OR ANY OTHER PERSON OR ENTITY, FOR ANY LOSS OF USE, REVENUE OR PROFIT, LOST OR DAMAGED DATA, OR OTHER COMMERCIAL OR ECONOMIC LOSS OR FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, STATUTORY, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES WHATSOEVER RELATED TO YOUR USE OF THE PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF SUCH DAMAGES ARE FORESEEABLE. THIS LIMITATION SHALL APPLY EVEN IN THE EVENT OF A FUNDAMENTAL OR MATERIAL BREACH OF THE EULA.
11. Export Rules. You agree that the Product will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations (“Export Rules”). In addition, if the Product is identified as export controlled items under the Export Rules, you represent and warrant that you are not a citizen, or otherwise located within, an embargoed nation, including, without limitation, Cuba, Iran, Sudan or Syria, and that you are not otherwise prohibited under the Export Rules from receiving the Product. All rights to use the Product are granted on condition that such rights are forfeited if you fail to comply with the terms of the EULA.
12. Governing Law. If you acquired this Product in the United States, this EULA is governed by the laws of the State of New York. The EULA shall not be governed by the conflict of laws rules of any jurisdiction or the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.
